Farmbity Terms of Use and Trading Terms

These Terms govern access to Farmbity and its agricultural commodity trading services, provided by Farmbity Limited, RC 9826728. Creating an account, listing a commodity, submitting or accepting a trade request, making payment or using Farmbity means you agree to them.

You must be legally capable of entering binding agreements. If acting for a farm, company, cooperative, partnership or organisation, you confirm authority to bind it. Recorded and accepted transaction-specific terms, including price, quantity, specifications, delivery terms and payment instructions, form part of that transaction's agreement and govern where they conflict with general marketplace information, except where law prohibits.

Farmbity is an agricultural commodity trading platform. It enables farmers, sellers, traders and buyers to discover opportunities, list commodities, negotiate terms, document transactions, make or receive payments and manage fulfilment.

A user may buy in one transaction and sell in another, subject to applicable verification. Unless Farmbity says otherwise, it is not the original seller, producer or owner of user-listed commodities. Farmbity nevertheless receives buyer funds, maintains transaction records, administers seller payouts and refunds, and manages disputes under these Terms.

Users must provide accurate, complete and current information, keep credentials and devices secure, and promptly report suspected unauthorised use. Farmbity may request further information to prevent fraud, investigate a transaction, comply with law or protect users.

Farmers and other sellers may need to complete seller verification before obtaining or retaining selling privileges. For Nigerian individuals this may include NIN verification; Farmbity may introduce CAC and related business verification for companies, cooperatives and registered businesses.

Verification does not guarantee seller performance, the accuracy of every statement, or commodity suitability. False, altered, stolen or misleading verification information may lead to suspension, termination, withholding of payouts where lawful, investigation and referral to authorities.

Farmbity does not presently require buyers generally to complete the same NIN or business verification as sellers. It may request buyer information for fraud prevention, payment investigation, compliance, disputes, security or other legitimate operational or legal purposes, and may introduce further requirements where lawful.

Sellers are responsible for accurate listings and all material information reasonably needed to evaluate the commodity.

• Include commodity type and variety, quantity and unit, location, quality or grade, condition, packaging, relevant production information, media and material limitations.
• Do not list goods you lack authority to sell or intentionally misstate availability, quantity, origin, quality, grade or condition.
• Farmbity may remove or restrict fraudulent, misleading, unlawful, unsafe or non-compliant listings.

Displayed prices are not necessarily final. Parties may negotiate price, quantity, quality, grade, variety, packaging, delivery, inspection and other commercial terms. A negotiation alone is not a funded Farmbity Order; final accepted terms should be recorded by Farmbity and users must review them before accepting.

A trade request or negotiated agreement does not become a confirmed Farmbity Order until Farmbity receives and confirms 100% of required buyer payment. Buyers must use Farmbity payment instructions. A screenshot, receipt or submitted evidence alone does not prove cleared funds; sellers should wait for Farmbity's funding confirmation.

The buyer must pay 100% of the required Order amount to Farmbity before fulfilment. Funds are administered for fulfilment, seller payouts, refunds, approved adjustments and related amounts. They are not an interest-bearing deposit, savings account or investment product.

Never send funds to an account merely because another user claims it is Farmbity's. Use only payment instructions through authorised Farmbity channels.

After full funding and required checks, Farmbity may release 25% of agreed commodity proceeds before final completion. The remaining 75% is retained pending fulfilment, delivery, buyer acceptance and/or dispute resolution. An initial payout does not remove seller responsibility or prevent investigation of fraud, non-performance or material non-conformity.

Sellers must deliver according to recorded Order terms. Buyers should inspect promptly for identity, variety, quantity or weight, quality, grade, condition, packaging and other recorded specifications. Buyers may not reject based on an unagreed preference; sellers may not substitute materially different goods without agreement.

After compliant delivery and buyer confirmation, Farmbity may release the remaining 75%, subject to disclosed deductions or adjustments. Farmbity may use a clearly disclosed lawful automatic-completion process after an inspection or response period. Final payout may be delayed for a dispute, fraud evidence, legal requirement, reversal or another legitimate investigation reason.

Buyers should promptly report non-delivery, wrong commodity, incorrect quantity, material quality or grade errors, damage, deterioration or another material failure through Farmbity. Farmbity may request photos, videos, weights, inspection information, delivery documents, messages, location information or other evidence. Both parties must cooperate honestly.

After dispute notice, parties ordinarily have 24 hours to resolve the matter directly, including replacement, missing quantity completion, price adjustment, partial refund, return or another lawful settlement. A settlement affecting Farmbity-administered funds must be recorded or confirmed through Farmbity. If unresolved, Farmbity takes over; it may intervene earlier for fraud, safety, perishability, legal requirements or urgent circumstances.

Farmbity reviews recorded Order terms and available evidence to determine material conformity. It may consider descriptions, tolerances, quality, media, inspection reports, weights, delivery evidence, Farmbity messages, applicable standards and other reliable evidence. It may request more information. Evidence must not be fabricated, altered or manipulated.

If Farmbity determines that agreed goods were not delivered or materially different goods were supplied, it may provide a 100% refund subject to law and transaction circumstances. The seller is not entitled to unpaid proceeds for a valid rejection, and Farmbity reserves recovery rights where funds were already advanced.

Farmbity compares delivered goods with recorded Order terms. If goods materially comply, it may reject the dispute and complete the transaction. If not, it may propose partial refund, price adjustment, missing quantity, replacement, compensation or another reasonable resolution. Where a valid rejection remains after proposed compensation is declined, Farmbity may provide a 100% refund. Non-waivable Nigerian legal rights remain.

After a full refund following a seller's material non-performance, Farmbity may lawfully recover amounts, take possession or control of goods, arrange resale or disposal, set off future proceeds or pursue other remedies. Title transfers only where transaction terms provide and law permits.

Deliberate non-delivery, substitution, material misrepresentation, falsified evidence, payment without fulfilment or repeated Order breach may lead to suspension, termination, restricted selling, lawful withholding, recovery, set-off, evidence preservation and referral to authorities.

Farmbity has suspended the former 3% buyer and seller commissions. Nigerian orders currently carry a fixed ₦5,000 processing fee, displayed to the buyer before payment. Sellers receive the full agreed product value, subject only to any separately agreed adjustment, refund or dispute outcome. Voluntary tips or contributions may be available.

Farmbity may later introduce subscriptions, commissions, premium services or clearly disclosed charges. Mandatory fees and any commission will be disclosed before they apply. Community consultation about charges is consultative and does not prevent Farmbity Limited from making decisions required for law, regulation, financial sustainability, security or proper operation.

Discussion, consultation, voting, polling and other participation features are for exchange of views and platform development. Unless expressly designated as legally binding, they do not create shareholder voting, corporate governance rights or ownership of Farmbity Limited. Farmbity may moderate prohibited content.

Transport may be performed by independent providers unless Farmbity says otherwise. Prices, estimates and routes depend on distance, quantity, vehicle, fuel, roads and other factors. Drivers and providers are responsible for licensing, vehicles, safety and operations. Recorded transport terms may be considered in a dispute.

Users must not commit fraud, impersonate others, submit false identity, business, payment or delivery evidence, manipulate quantities, grades, descriptions, inspections or reviews, use unlawful goods or financial activity, bypass security, distribute malware, scrape protected information, harass others, misuse NIN documents or abuse refunds and disputes. Farmbity may investigate and preserve records.

Users who meet through Farmbity must not deliberately move an active transaction off-platform to avoid charges, protections, records or Farmbity requirements. Farmbity cannot provide the same payment administration or dispute support for independent transactions.

Users retain ownership of lawfully submitted content but grant Farmbity a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, display and use it as reasonably necessary to operate, secure, improve and promote Farmbity. You must have the legal right to upload all media, logos, documents, messages and reviews.

Farmbity handles personal information for account administration, verification, transaction processing, fraud prevention, security, disputes and legal compliance. NIN or future CAC information is handled under the Privacy Policy and applicable Nigerian data-protection requirements.

Prices, market information, rankings, locations, estimates, verification indicators and reviews assist decisions but do not guarantee availability, performance, quality, profitability or future prices. Farmbity may be unavailable because of maintenance, outages, third-party services, security incidents or events beyond reasonable control.

Farmbity accepts the responsibilities for buyer funds, refunds and dispute administration described here. Nothing excludes liability that cannot lawfully be excluded. To the extent law permits, Farmbity is not liable for indirect, incidental, special or consequential loss arising outside its reasonable control, user credential disclosure, user fraud or deliberately independent off-platform transactions. Mandatory consumer rights remain.

Farmbity may restrict functionality, remove listings, suspend privileges or accounts, or terminate access where reasonably necessary for fraud investigation, user or fund protection, enforcement, compliance, verification issues, repeated non-performance, integrity or security. Existing Order, payment, payout, refund, dispute, investigation and debt obligations survive closure.

Farmbity may update these Terms as services, business model, technology and legal obligations develop. Material changes will be communicated appropriately, and reasonable advance notice will be attempted for material fee or transaction-right changes. Already funded Order terms are not ordinarily altered unless law requires or parties agree.

These Terms are governed by the laws of the Federal Republic of Nigeria. Users are encouraged to use Farmbity's internal complaint process first, but retain rights to approach competent regulators, courts or dispute-resolution bodies where law allows.

If a provision is unlawful, invalid or unenforceable, it will be limited to the minimum necessary where legally possible without invalidating remaining provisions.

These Terms, Farmbity's Privacy Policy, recorded Order terms and expressly incorporated transaction-specific terms form the agreement for Farmbity use and transactions.
