1. Acceptance
You must use Farmbity only if you can lawfully enter into these terms. If you use Farmbity for a farm, company, cooperative, transport business, or other organization, you confirm that you are authorized to act for it.
Additional terms shown during a transaction, including current order terms, transport quotes, payment instructions, and platform notices, form part of the agreement for that activity.
2. Accounts and eligibility
Provide accurate, current information and keep your account secure. You are responsible for activity performed through your account unless you promptly report unauthorized use.
Farmbity may require identity, business, vehicle, market, payout-account, or other supporting information. A pending or approved verification status does not remove your responsibility for the accuracy of your information or conduct.
Do not share passwords, one-time codes, or access to a role-restricted account. Drivers and other safety-sensitive participants may be prevented from performing certain actions until required reviews are approved.
3. Farmbity's marketplace role
Farmbity provides technology and operational support that helps farmers, buyers, drivers, agents, and markets find one another, record terms, coordinate payment, and track fulfillment.
Unless Farmbity expressly states otherwise for a specific transaction, the farmer is the seller of the product, the buyer purchases it, and the selected driver or transport provider performs transportation. Farmbity does not own every listed product or operate every delivery vehicle.
4. Listings and order requests
Farmers control their listings and must keep product identity, photos, location, market, price, grade, packaging, unit, available stock, condition, and expiry information accurate. Do not list unavailable, unlawful, unsafe, counterfeit, or misleading products.
A buyer order request is a proposal based on the quantity, unit price, delivery details, and other terms displayed at that time. The farmer may accept, reject, or counter where those controls are available. The latest active or accepted terms replace earlier pending terms for decision-making.
Farmbity may reserve stock when an order is accepted. Users must not deliberately oversell, evade stock controls, or create duplicate requests to manipulate availability.
5. Prices, commissions, and totals
The product value is generally calculated as accepted quantity multiplied by accepted unit price. Unless the transaction screen states otherwise, Farmbity charges the buyer a 3% commission on product value and deducts a 3% commission from the farmer's product proceeds.
Transport charges, taxes, inspection costs, bank charges, and other disclosed costs may apply separately. The buyer should review the displayed total before accepting or paying. The farmer should review the expected net payout before fulfillment.
If a fee shown in the final transaction summary differs from a general description on this page, the clearly disclosed transaction summary controls for that order, subject to correction of obvious errors.
6. Payment and Farmbity escrow records
Where bank-transfer payment is offered, the buyer must pay only into the account displayed in the Farmbity order and use the Farmbity order number or required reference as the transfer narration. A transfer screenshot or buyer submission alone does not prove cleared payment.
Farmbity records payment as funded only after an authorized review confirms the transfer. Farmers and drivers must not release goods or rely on payment until the order shows the appropriate approved status.
Money recorded as held for an order is intended for that order's fulfillment, refunds, commissions, farmer proceeds, and approved transport payment. It is not an interest-bearing deposit account. Payout and refund recipients must provide accurate bank information and may be subject to approval.
7. Transport services
Transport estimates are planning information and may depend on route data, location quality, quantity, vehicle assumptions, fuel, road conditions, and other factors. An estimate is not a guaranteed final price.
Eligible drivers may bid on open transport requests before or after the underlying order is accepted, where enabled. A bid must state an honest price and service capability. A driver is not assigned until the platform records selection or assignment.
Drivers are responsible for lawful operation, suitable vehicles, required licences, safe handling, accurate milestones, and genuine pickup or delivery evidence. Farmers and buyers must provide usable locations and reasonable access information.
8. Fulfillment, delivery, and reviews
Each participant must update the order truthfully and act only when the current status requires them to act. Proof submitted to Farmbity must relate to the actual order and must not be edited to mislead another user or an administrator.
Buyers should inspect goods promptly and report material problems through the order tools. Reviews must reflect a genuine completed transaction and must not contain threats, discriminatory content, private data, or knowingly false claims.
9. Cancellation, refunds, and disputes
Cancellation and refund availability depends on the order stage, accepted terms, product condition, transport activity, payment status, and responsibility for the problem. Perishable goods may require faster reporting.
Buyers and farmers should use Farmbity's dispute controls and provide relevant messages, photos, payment records, inspection details, and delivery proof. Farmbity may temporarily hold a payout or refund while reviewing a dispute.
Farmbity may make an operational decision using the available records, but this does not prevent a party from exercising rights available under applicable law.
10. Prohibited conduct
Do not commit fraud; impersonate another person; submit false identity, payment, product, or delivery evidence; manipulate prices or reviews; harass users; distribute malware; scrape protected data; bypass access controls; launder money; or use Farmbity for unlawful goods or activity.
Do not move a transaction outside Farmbity to avoid disclosed commissions after finding the counterparty through Farmbity. Off-platform activity may also remove the records needed for payment, fulfillment, and dispute support.
11. Content and intellectual property
You retain ownership of content you lawfully submit. You grant Farmbity a non-exclusive, worldwide licence to host, reproduce, resize, display, and use that content as needed to operate, secure, improve, and promote the marketplace.
You must have the right to upload every photo, video, logo, document, review, and message you submit. Farmbity may remove content that violates these terms or creates legal, safety, or marketplace risk.
12. Availability and disclaimers
Farmbity aims to provide accurate and available services, but internet access, third-party maps, email, hosting, payment records, uploads, and database services may occasionally be delayed or unavailable.
Search ranking, spelling suggestions, distance, transport estimates, market prices, matches, verification indicators, and reviews support decisions but do not guarantee product quality, identity, route conditions, performance, or commercial outcome.
13. Liability
To the extent permitted by applicable law, Farmbity is not liable for indirect, incidental, special, punitive, or consequential loss, including lost profit, lost opportunity, spoilage caused outside Farmbity's control, or losses arising from unauthorized account access caused by a user's failure to secure credentials.
Nothing in these terms excludes liability that cannot lawfully be excluded. Users remain responsible for obtaining appropriate insurance and professional advice for their products, transport, tax, safety, and business obligations.
14. Suspension and termination
Farmbity may restrict an action, hide content, suspend an account, hold a payout for review, or end access when reasonably necessary to investigate fraud, protect users, comply with law, enforce these terms, or address safety and payment risk.
Obligations connected to an existing order, payment, dispute, refund, commission, or payout survive account closure until resolved.
15. Governing law and changes
These terms are governed by applicable laws of the Federal Republic of Nigeria, without limiting mandatory rights that apply to a user.
Farmbity may update these terms as the service develops. Material changes will be communicated through the platform or other appropriate channels. Continuing to use Farmbity after an updated effective date means you accept the revised terms.
